Terms and conditions

1. Who we are

Boralta operates a managed business-to-business wholesale marketplace connecting vetted manufacturers with verified wholesale buyers. These terms and conditions govern your access to and use of the Boralta website, the Boralta app and the services we provide (together, the "services").

2. Acceptance of these terms

By accessing or using the services, you agree to be bound by these terms. If you are using the services on behalf of a business, you confirm that you are authorised to bind that business, and "you" refers to that business.

3. Eligibility and verification

The services are intended for businesses only, including manufacturers, independent retailers, market traders, wholesalers and importers. Membership is subject to application and review. We may require verification information, including business registration and know-your-customer (KYC) documentation, and we may approve, decline or revoke membership at our discretion.

4. Your account

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate and current information, and to notify us promptly of any unauthorised use of your account.

5. Our role

Boralta is a managed marketplace. We facilitate and manage transactions between buyers and manufacturers, including communication, payments, quality assurance coordination and logistics coordination. Unless expressly stated otherwise, Boralta is not the manufacturer or the seller of products offered through the services.

6. Orders and payments

Payments for orders placed through the services are managed by Boralta. Funds are held securely and released in accordance with the conditions agreed between the parties to the transaction. Specific commercial terms, including pricing, quantities and delivery arrangements, are set out at the time of each order.

7. Quality assurance and logistics

Boralta coordinates quality assurance processes appropriate to the supplier and the order, and coordinates logistics with approved freight partners. While these processes are designed to reduce risk and improve consistency, Boralta does not guarantee any particular outcome for an individual shipment except as expressly agreed in writing for that order.

8. Group Buys

Group Buys allow verified buyers to combine orders to meet a manufacturer's minimum order quantity. Participation in a Group Buy is a commitment to purchase the quantity you select if the Group Buy completes. The terms applicable to each Group Buy are shown before you commit.

9. Acceptable use

You agree not to misuse the services, including by providing false information, infringing the rights of others, attempting to transact outside the managed marketplace to avoid the protections it provides, interfering with the operation of the services or using the services for any unlawful purpose.

10. Intellectual property

The services, including the Boralta name, logo, software and content, are protected by intellectual property rights owned by or licensed to Boralta. You may not copy, modify or distribute any part of the services without our prior written consent.

11. Liability

Nothing in these terms excludes or limits liability that cannot be excluded or limited by applicable law. Subject to that, the services are provided on an "as available" basis and Boralta's liability arising out of or in connection with the services is limited to the fees paid by you to Boralta in respect of the transaction giving rise to the claim.

12. Suspension and termination

We may suspend or terminate your access to the services if you breach these terms, if required by law or if we reasonably consider it necessary to protect the marketplace or its members. You may close your account at any time; obligations arising from orders already placed survive termination.

13. Changes to these terms

We may update these terms from time to time. When we make material changes, we will take reasonable steps to notify you, for example through the services or by email. Continued use of the services after changes take effect constitutes acceptance of the updated terms.
